Paul Delong Memorial Scholarship Bylaws

BY-LAWS OF
THE PAUL DELONG MEMORIAL SCHOLARSHIP

These By-Laws of The Paul DeLong Memorial Scholarship (the “Agreement”) are made and effective January 3, 2016.

1. ORGANIZATION
The name of the organization shall be The Paul DeLong Memorial Scholarship and operated by The Paul DeLong Memorial Scholarship Committee.

2. PURPOSE
The purpose of The Paul DeLong Memorial Scholarship is to assist youth enrolled in 4-H and FFA beef projects throughout the seven counties of the thumb of Michigan (Huron, Tuscola, Sanilac, Lapeer, St. Clair, Macomb, and Oakland) in furthering their education.

3. REQUIREMENTS
The requirements to receive a scholarship are as follows: a graduating high school senior from one of the seven counties (Huron, Tuscola, Sanilac, Lapeer, St. Clair, Macomb, or Oakland) and exhibiting two years, the current year must be their senior year at the Thumb Jackpot Beef Show. In order to participate in the scholarship award, the exhibitor must indicate their interest to participate on the Thumb Jackpot Beef Show registration/entry form. Amounts of the scholarship award will be based upon contributions, interest earned on investments each year, and the number of scholarship applicants. Award checks will be written in the name of the scholarship recipient and the college or vocational program in which they are enrolled. Scholarships must be claimed by December 31st of the graduating year or be forfeited.

4. MEMBERSHIP
A. The Paul DeLong Memorial Scholarship Committee shall be comprised of the elected county representatives or alternates of the 4H & FFA Thumb Jackpot Beef Education Program who must be a registered 4H Volunteer in one of the seven participating counties (Huron, Tuscola, Sanilac, Lapeer, St. Clair, Macomb, and Oakland). They also must be a 4-H & FFA Thumb Jackpot Beef Education Executive Committee member.

B. In addition, the committee will include a DeLong family member or a representative of the family, and alternate, who do not have to be a 4-H Volunteer.

C. The county representatives and alternates will be elected on an annual basis at the January meeting by the 4H & FFA Thumb Jackpot Beef Education Program Organizing Committee. The DeLong family will also name their family member or representative and alternate at this meeting.

D. If no one from a county is eligible for membership the seat remains vacant for that year.

5. OFFICERS
A. The Paul DeLong Memorial Scholarship Committee shall elect its officers from its membership at their January meeting. Officers shall consist of a Chairperson, Vice Chairperson, and Secretary/Treasurer.

B. The Chairperson shall preside at all membership meetings. He/she shall present at each annual meeting of the organization an annual report of the work of the organization. He/she shall appoint all committees. He/she shall see all books, reports, and certificates required by law are properly kept or filed. He/she shall be one of the officers who may sign the checks or drafts of the organization. He/she shall have such powers as may be reasonably construed as belonging to the chief executive of any organization. The chairperson will advise the committee relative to the investment of the money. Under the direction and vote of the committee, the chairperson will invest the money to get maximum safe return. He/she can never remove any of the principle at any time.

C. The Vice Chairperson shall in the event of the absence or inability of the Chairperson to exercise his/her office become acting Chairperson of the organization with all rights, privileges and powers as if he had been the duly elected Chairperson.

D. Secretary/Treasurer shall keep the minutes and records of the organization in appropriate books. He/she will ensure the scholarship payout information is given to the Tuscola County Community Foundation or successor and scholarships are paid out in a timely manner. He/she shall have the care and custody of operating funds belonging to the organization and shall be solely responsible for such monies of the organization. It shall be his/her duty to ensure Tuscola County Community Foundation files any certificates required by any statute, federal, or state. He/she shall give and serve all notices to members of this organization. He/she shall be the official custodian of the records and seal. He/she may be one of the officers required to sign the checks and drafts of the organization. He/she shall present to the membership at any meetings any communication addressed to him/her as Secretary/Treasurer of the organization. He/she shall attend to all correspondence of the organization and shall exercise all duties incident to the office of Secretary/Treasurer.
E. No county representative or officer shall for any reason of his/her office be entitled to receive any salary or compensation.

F. When an acting Officer’s and/or county representative’s term is complete all books/records shall be turned into the Chairperson or Secretary.

6. VOTING
A. The presence of not less than 6 voting members from the 8 voting committee membership shall constitute a quorum and shall be necessary to conduct the business of this organization.

B. Members must attend 2 out of the 3 annual meetings in order to be eligible to vote.

C. The Chairperson shall only vote in the event of a tie.

D. In the event that the county representative is not present/eligible to vote, their alternate will be considered the voting county representative.

7. FISCAL MANAGEMENT/REPORTING
All money raised through the Paul DeLong Memorial Auction must be deposited with the Tuscola County Community Foundation or successor. The Tuscola County Community Foundation will manage investments for the Paul DeLong Memorial Scholarship ensuring maximum return for payout, while protecting initial investment.

8. MEETINGS
A. Regular meetings of this organization shall be held in January, March, and September.

B. The secretary shall announce the date, time, and location at least one month in advance.

C. Special meetings of this organization may be called by the chairperson when he/she deems it for the best interest of the organization. Notices of such meeting shall be given to all members before the scheduled date set for such special meeting. Such notice shall state the reasons that such meeting has been called, the business to be transacted at such meeting and by whom it was called.

9. AMENDMENTS
Amendments to the by-laws may be altered, amended, repealed or added to, by a 2/3 majority vote from the voting representatives. Any alterations to the By-Laws must be presented at one meeting and voted on at the next meeting.

10. DISSOLUTION
In the event of dissolution of the 4H & FFA Thumb Jackpot Beef Show, The Paul DeLong Memorial Scholarship Committee will provide a scholarship program to seniors in the 4-H and FFA areas in all seven participating counties (Huron, Tuscola, Sanilac, Lapeer, St. Clair, Macomb, and Oakland).

In the event of dissolution of the Paul DeLong Memorial Scholarship Committee, the Tuscola County Community Foundation will continue to provide scholarships to seniors in the seven counties (Huron, Tuscola, Sanilac, Lapeer, St. Clair, Macomb, and Oakland) enrolled in a 4-H and/or FFA beef project area.
